About the Role
Arena Intelligence is hiring an Associate General Counsel focused on commercial contracting and intellectual property for their AI evaluation platform. The role partners with Sales, Product, and Engineering to negotiate enterprise agreements, manage IP (patents and trademarks), scale legal processes and tooling, and provide technical IP counsel for AI and machine learning initiatives.

Role
Associate General Counsel, Commercial & IP responsible for commercial contracting, IP strategy and portfolio management, and scaling legal operations at an AI-focused company. This role partners closely with Sales, Product, and Engineering to enable enterprise deals while protecting Arena’s intellectual property.
Key Responsibilities
- Lead drafting, review, and negotiation of complex enterprise agreements, including Master Services Agreements (MSAs), Data Processing Agreements (DPAs), software licenses, vendor agreements, and strategic partnerships.
- Provide strategic IP advice for product and machine learning teams, including open source and AI training considerations.
- Support management of worldwide IP portfolio (patent prosecution, trademark registration, and enforcement).
- Build and scale commercial legal processes: create playbooks, standardize templates, and implement systems to support a high-growth sales organization.
- Build agents and internal software, and procure legal technology to integrate internal and vendor systems.
- Advise on machine learning, generative AI, and other technical areas; engage effectively with technical teams on complex engineering and data evaluation issues.
Requirements
- JD and active membership in at least one U.S. state bar (California preferred).
- 8+ years of legal experience in intellectual property law and commercial transactions at a top-tier law firm and/or in-house legal department, ideally within a high-growth software or technology company.
- Proven track record drafting and negotiating complex enterprise sales agreements, data licenses, and privacy addendums.
- Strong strategic thinking, risk calibration, and the ability to communicate legal risk clearly to executive, sales, and technical audiences.
- Demonstrated cross-functional collaboration, organization, and the ability to operate under sales pressure.
- Technical fluency and interest in AI, generative AI, and machine learning technologies.
- Experience building or iterating on tools and workflows (“vibe coding”) using tools such as Cursor, Claude Code, Replit, Loveable, and/or Retool.
Nice-to-haves / Bonus
- Direct experience negotiating software and data licensing deals.
- Deep familiarity with data privacy regulations (e.g., CCPA, GDPR) and negotiating complex privacy frameworks within enterprise MSAs.
