Role

Associate General Counsel serving as the primary partner to the General Counsel at a GovTech SaaS company. The role spans a broad range of legal responsibilities including commercial contracting, data privacy, employment, regulatory compliance, governance, disputes, product counseling, strategic transactions, and legal operations.

Key Responsibilities

  • Lead commercial contracting and SaaS transactions: draft, review, and negotiate SaaS subscription agreements, terms of service, professional services statements of work, data protection addenda, confidentiality agreements, vendor/subcontractor agreements, and related documents.
  • Provide practical guidance on contractual, regulatory, privacy, risk, and AI governance matters, balancing risk management with business objectives.
  • Apply and oversee compliance with data protection, privacy, and information security requirements in client and vendor relationships.
  • Develop and refine privacy and AI governance policies, standards, and training, including responsible AI use across the organization.
  • Own and improve contract templates, fallback positions, and clause libraries with attention to SaaS and government contracting nuances.
  • Create and maintain contracting playbooks to support consistent, scalable negotiation and escalation processes.
  • Partner with stakeholders to implement and refine contract lifecycle management (CLM) and AI-enabled legal tools (for contract review, redlining, knowledge management).
  • Drive legal operations initiatives to improve intake, KPIs, visibility, efficiency, and predictability (self-service resources, metrics, processes).
  • Counsel HR on employment issues, support corporate governance and entity management, assist with dispute resolution and pre-litigation strategy, and coordinate outside counsel as needed.
  • Support diligence and legal workstreams for strategic transactions (M&A, partnerships) in partnership with the General Counsel and business teams.

Requirements

  • Juris Doctor (JD) from an ABA-accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • 4–7 years of post-JD experience; at least 3 years of in-house experience strongly preferred.
  • Experience drafting and negotiating technology-focused commercial agreements and handling data/privacy issues in contracts.
  • Comfort managing a high volume of concurrent matters with limited oversight; excellent written and verbal communication skills and the ability to explain complex legal concepts to senior stakeholders.
  • High level of integrity, judgment, and discretion; proven ability to build cross-functional trust.
  • Familiarity with legal AI tools and demonstrated interest in building OpenClaw assistants (AI orchestration / vibe coding).

Preferred/Valuable Experience

  • Prior work with state or local government customers, public procurement, RFP processes, and government contracting positions.
  • Experience in FinTech, payments, or other highly regulated technology domains.
  • Practical experience implementing or advising on privacy programs, data protection impact assessments, or AI governance frameworks.
  • Hands-on experience with CLM systems, AI-assisted contract review tools, and legal operations (playbooks, intake design, metrics).

Compensation & Logistics

  • Expected salary range: $155,000–200,000 per year.
  • Minimal travel (typically 1–2 weeks per year).
  • Role supports both on-site and telecommuting arrangements and operates in a technology-rich environment.
